The applicant must be an Indian company incorporated under the Companies Act, 2013, except a One Person Company (OPC), subject to applicable conditions:
Corporate Structure & Shareholding
- Must be an Indian entity registered under the Companies Act, 2013 (Private Limited or Public Limited).
- The Memorandum of Association (MoA) must explicitly include telecommunication service activities in its main object clause.
- 100% Foreign Direct Investment (FDI) permitted under automatic route, subject to national security scrutiny.
Financial Standing & Infrastructure
- Minimum paid-up capital of ₹2.5 Cr and certified Net Worth of ₹2.5 Cr as prescribed under Schedule C.
- Cross-holding compliance: The applicant must not have direct ownership conflicts with prohibited telecom categories.
- Technical capability to deploy and maintain core telecommunication network transmission infrastructure.
Already Holding Other Authorisations? (Combined Financial Rule)
Where an applicant possesses one or more telecom authorisations/licenses or applies for additional authorisations, the minimum paid-up equity capital and minimum net worth must satisfy the combined applicable statutory requirement across all held and applied service authorisations under Schedule C.
FDI must comply with applicable Government of India policy and law.
Applicable ownership restrictions and security undertakings must be met.
Applicable cross-holding conditions to prevent conflict of interest must be met.
Management must satisfy the applicable “sound character” requirement.
Applicant company and promoters must have zero pending regulatory dues to the DoT.
