WHAT IS A PARTNERSHIP FIRM?
Under Section 4 of the Indian Partnership Act, 1932, a partnership is legally established as a relation between persons who have agreed to share the profits of a business carried on by all or any of them acting for all.
Mutual Agency
Each partner is simultaneously a principal and an agent. An action performed by any partner in the ordinary course of business binds all other co-partners legally and financially.
Capital & Profit Sharing
Partners pool funds, intellectual property, or commercial assets. Profits and losses are apportioned strictly according to the agreed ratio codified in the Partnership Deed.
Contractual Charter
The relationship is purely contractual, created by mutual agreement rather than corporate charter incorporation under the Ministry of Corporate Affairs (MCA).
Unlimited Liability
Partners bear joint and several unlimited liability. If commercial liabilities exceed business assets, creditors can legally claim personal assets of any or all partners.
PARTNERSHIP DEED — THE FOUNDATION OF YOUR BUSINESS
A Partnership Deed is not a generic template. It is the binding legal contract governing every operational, financial, and dissolution mechanic of your enterprise.
Firm Identity & Principal Place
Specifies the approved trading name of the firm and designates the official principal place of business alongside any registered branch offices for legal jurisdiction.
Why Standardized Online Templates Fail
Generic deeds purchased online often omit critical statutory clauses such as working partner remuneration mechanisms under Section 40(b) of the Income-tax Act, leaving the firm ineligible for legal salary deductions during tax assessments. TeleTax Solutions drafts tailored deeds reflecting your exact operational realities.
WHO CAN START A PARTNERSHIP FIRM?
Foundational requirements for individuals and corporate entities entering into a partnership contract under Indian law.
2 to 50 Partners
Minimum of two individuals/entities. Maximum capped at 50 partners under Rule 10 of Companies (Miscellaneous) Rules, 2014.
Indian Contract Act, 1872
Partners must be of legal age of majority (18+), sound mind, and not disqualified by any court of law from entering contracts.
Entities as Partners
Private Limited Companies and LLPs can legally become partners through an authorized board resolution and authorized signatory.
Minors & NRI Partners
Minors can only be admitted to profit benefits under Section 30. NRI investments are permitted subject to RBI and FEMA compliance.
POST-REGISTRATION & TAXATION COMPLIANCE
A partnership firm functions under distinct statutory tax and filing requirements in India.
Partnership firms are subject to a flat income tax rate of 30% on net profits, plus applicable surcharge and 4% Health and Education Cess. There is no basic threshold exemption slab.
Remuneration (salary, bonus, commission) paid to working partners is tax-deductible up to statutory limits under Section 40(b), provided it is explicitly sanctioned in the Partnership Deed.
A mandatory tax audit by an independent Chartered Accountant applies if annual commercial turnover exceeds statutory limits (or eligible firms may opt for Section 44AD presumptive taxation).
If registered under GST, monthly or quarterly filing of GSTR-1 (sales) and GSTR-3B (tax payment) is legally mandatory, even during zero-turnover periods.
Enables preferential bank lending terms, lower interest rates on overdrafts, and statutory recovery mechanisms under the MSMED Act for delayed client receivables.
Maintaining double-entry accounting records, journal ledgers, and reconciled bank statements is critical for clean partner capital accounting and tax filing.
